These Terms of Service ("Terms") govern your use of our analytics platform that connects to your Faire brand store via OAuth and provides analytics services (collectively, the "Service") operated by Multisellr ("we," "our," or "us").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.
Operating Entity and Business Structure
Multisellr is currently operated as an individual sole proprietorship based in Switzerland. A Delaware Limited Liability Company (LLC) formation is in progress, and these Terms will be updated once the corporate entity is formally established.
Important Notice: Until the LLC formation is complete, the Service is operated by an individual. These Terms will be updated with complete company registration details, including company name, registration number, and registered address, once the Delaware LLC is formally established. Active subscribers will be notified of any material changes to the operating entity.

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Fees and Charges
All fees are stated in USD. Taxes are additional and will be added to your invoice as applicable.
Refund Policy: Fees are generally non-refundable except as required by law or under the Force Majeure clause. However, consumers in the European Union, Switzerland, and the United Kingdom have the right to withdraw from their purchase within 14 days of subscription without giving any reason. To exercise this right, you must inform us of your decision by sending a clear statement to [email protected] within the 14-day withdrawal period. If you have used the Service during this period, you may be charged a pro-rated amount for the services provided. This withdrawal right does not apply to business customers or after the 14-day period has expired.
Price Changes
We may change our pricing with 30 days' notice. Price changes will take effect at your next billing cycle.

- • No Business Outcome Guarantees: We make no guarantees regarding business outcomes, revenue increases, or any results from using our Service.
- • API Changes: Faire may change their API structure, endpoints, or terms of service at any time, which may affect our Service functionality without notice.
- • Your Responsibility: You are solely responsible for verifying data accuracy, maintaining your own backups, and making business decisions based on verified information.

We specifically disclaim any warranty regarding data accuracy, completeness, or timeliness, as all data is sourced from third-party APIs over which we have no control.
Liability Limits
Our total liability for any claims arising from or related to the Service shall not exceed the amount paid by you for the Service in the 6 months preceding the claim, or $100, whichever is greater.

Effect of Termination
Upon termination, your right to use the Service will cease immediately. We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control ("Force Majeure Event").

Effect of Force Majeure
During a Force Majeure Event, our obligations under these Terms will be suspended for the duration of the event. We will use reasonable efforts to find a solution and resume performance as soon as reasonably practicable.
If a Force Majeure Event continues for more than 30 consecutive days, either party may terminate the agreement by providing written notice. You will receive a pro-rated refund for any prepaid but unused subscription period.
Indemnification
You agree to indemnify, defend, and hold harmless Multisellr, its operator, and any future corporate entities, along with their officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

- • You are not listed on any government restricted party list, including the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List
- • You will comply with all applicable export control, sanctions, and import laws and regulations
- • You will not use the Service for any purposes prohibited by applicable law, including development, design, manufacture, or production of nuclear, chemical, or biological weapons
We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that providing the Service to you may violate applicable export control or sanctions laws.
